Prepare an IP transfer agreement for an US based company ABC with a winning contestant XYZ and contest holder ZYX. ABC decided to transfer the entire IP Rights over the winning entry from the XYZ to the ZYX and to absolve ABC from any possible disputes between the XYZ and ZYX on the IP rights or from any possible claims by any third parties in relation to the IP Rights as per the agreement.

Theoretical Strategy
Detailed analysis of practical issues in protecting the interest of ABC, transfer of intellectual property rights in US and expressly excluding ABC from all liabilities whatsoever in relation to the performance or failure to perform by ZYX or XYZ under the agreement. Another concern to be closely looked and solved is the IP rights over the winning entry to be transferred solely to ZYX not giving any ownership rights to XYZ.
Operational Strategy
B &L corporate and IP teams to work jointly in this project. Conduct an Initial detailed study on the business and proposed activities. All possible issues are to be listed out by various practice groups. Formulate strategy to protect the interest of ABC. Deliver the Final Draft after "TOTAL QUALITY ANALYSIS". Do post delivery follow up.
Result
With the Final Document, ABC could negotiate further with XYZ and ZYX and the agreement entered between ABC and XYZ and ZYX on the better and strict terms that B&L provided.
