Terms of Service

B&L was approached by a company ABC registered in Hong Kong to provide the terms of service for their website which provide a one click VPN application that is designed to offer its customers access to blocked US websites from anywhere in the world.

Issues

The core issues dealt with in the terms of service were analyzing the business model, acceptable user behavior online, ABC's marketing policies, IP rights and issues and the rules by which one must agree to abide by in order to use the service.

Theoretical Strategy

Detailed study and analysis of the website, strict analysis of the usage of services, its applicable legality issues.

Operational Strategy

B&L's IT and IP team were assigned to work on this. Identify the issues and Conduct an initial study of the website primarily its web activity. Analyzed the relevant clauses to be included in the Agreement. Deliver the Final Draft after "TOTAL QUALITY ANALYSIS". Do post delivery follow up.

Result

With the Final Document and Legal Memo, ABC could negotiate further and the agreement entered was on the better and strict terms that B&L provided.
